Introduction

Welcome to Grund Axis. By accessing www.grundaxis.com and its related websites, services, applications or tools (Collectively referred to as “Grund Axis”) you are agreeing to these Terms of Use and to make sure that Grund Axis works for everyone.

These Terms of Use constitute a legally binding agreement between you and the legal owners of grundaxis.com and are effective for current users from 27 December 2025, upon usage or access of www.grundaxis.com and its related websites, services, applications or tools, or upon acceptance for new users. You accept these Terms of Use when registering a Grund Axis account and by otherwise accessing Grund Axis, including posting an Ad; or as otherwise indicated on Grund Axis.

About Grund Axis

Grund Axis operates an online marketplace where users can among other things list, discover, buy, sell and arrange a wide variety of items, services and opportunities – including but not limited to goods for sale, rentals, jobs, pets, and personal or professional services.

Our role is to provide the platform and related tools that help users such as buyers, sellers, and service providers connect.

Importantly, we are not party to the actual agreements or transactions that take place between users. Any contract for the sale of an item, provision of a service, or other arrangement is made directly between the parties involved.

Grund Axis does not own, hold, or take possession of items or animals listed on the platform, nor do we provide, supply, or manage services advertised by users. While we may offer optional tools — such as pricing suggestions, safety tips, payment facilitation, dispute assistance, or buyer protection schemes — these are provided solely for convenience and do not amount to guarantees.

Using Grund Axis

As a condition of your use of Grund Axis, you must be at least 18 years old and agree that you will comply with these Terms of Use and will not:

 

• • violate any laws;

• • violate the posting policies;

• • post any threatening, abusive, defamatory, obscene or indecent material;

• • post or otherwise communicate any false or misleading material or message of any kind;

• • infringe any third-party right;

• • distribute spam, chain letters, or promote pyramid schemes;

• • distribute viruses or any other technologies that may harm Grund Axis or the interests or property of Grund Axis users;

• • impose or contribute to imposing an unreasonable load on our infrastructure or interfere with the proper working of Grund Axis;

• • copy, modify, or distribute any other person’s content without their consent;

• • use any robot spider, scraper or other automated means to access Grund Axis and collect content for any purpose without our express written permission;

• • harvest or otherwise collect information about others, including email addresses, without their consent;

• • copy, modify or distribute rights or content from Grund Axis or Grund Axis’s copyrights and trademarks;

• • harvest or otherwise collect information about users, including email addresses, without their consent;

• • bypass measures used to prevent or restrict access to Grund Axis;

• • use any tool that interferes with the normal functioning of Grund Axis, including, without limitation, browser plug-ins, extensions, or other software which are designed to supplement, remove or otherwise change any of Grund Axis’s functionalities;

• • attempt to gain unauthorised access to or interfere with, damage or disrupt Grund Axis or any of our or our partners’ software or infrastructure; or

• • sell any counterfeit items or otherwise infringe the copyright, trademark or other rights of third parties.

You are solely responsible for all information that you submit to Grund Axis and any consequences that may result from your post. We reserve the right at our discretion to refuse or delete any content, including content that we believe is inappropriate or breaching these Terms of Use. We also reserve the right at our discretion to restrict a user’s usage of Grund Axis either temporarily or permanently or refuse a user’s registration if you are in breach of any of the above or for any other reason. If we believe that you are breaching these Terms of Use in any way and/or behaving suspiciously on Grund Axis, we may, at our discretion, inform other Grund Axis users that have been in contact with you and recommend that they exercise caution.

The provisions in this clause relating to content on Grund Axis should be treated as an express reservation of our rights in this regard.

Global Marketplace

Some of Grund Axis’s features may display your Ad on other sites, services, applications or tools that are part of the Grund Axis community, or on third party Platforms, including social media channels. By using Grund Axis, you agree that your Ads can be displayed on these other Platforms and media channels by any means. You may be subject to additional laws or other restrictions in the countries where your Ad is posted. When your Ad is posted on another Platform, you may be responsible for ensuring that it does not violate such other Platform’s policies. We may remove your Ad if it is reported on Grund Axis, or any third-party Platform, or if we believe it causes problems or violates any law or policy.

Fees and Services

Grund Axis may charge a fee for certain services. If the service you use incurs a fee, you may be able to review and accept any other terms that may be clearly disclosed at the time you sign up for these services. Our fees are usually quoted in Malawi Kwacha, and we may change them from time to time with or without notice. We may choose to temporarily change our fees for promotional events or new services; these changes are effective with or without notice and may be subject to additional terms.

You are responsible for paying the Grund Axis fees when they’re due. If you don’t, without prejudice to any other right or remedy we may be entitled to under these Terms of Use or by law, we may limit your ability to use the services. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms or take you to court to recover owed fees.

Payment and delivery services on Grund Axis

Grund Axis has payment and delivery features available for selected categories on our platform. For payments, we have partnered with some payment service providers to help us deliver secure payment processing, holding, payouts, refunds, and fund transfers. By using this service, you are agreeing to the terms and conditions of such service providers.

Verification and KYC checks

To use the payment services, you may be required to supply personal identifying information (e.g. name, address, nationality, date of birth, bank account details, proof of identity). We or our payment provider may require you to complete “Know Your Customer” or similar checks. Failure or refusal may result in suspension or closure of the payment services and/or your account(s).

Holding & Escrow

Payments made by buyers for eligible Ads will, unless otherwise specified, initially be held in an escrow or holding state under the control of our payment processor until the conditions for release have been met (e.g. confirmation of delivery, acceptance, or expiry of dispute-period).

Making payments

Buyers may pay using (as available and permitted):

 

• • Mobile Money

• • Airtel Money

• • TNM Mpamba

• • Credit or debit cards

• • Bank Transfers

• • Bank Deposits

• • Other payment methods we may support (e.g. digital wallets)

You are responsible for making sure that your payment details are accurate so that payments made on our site are, precise, safe and secure. Failure to do so may result in your transactions being cancelled and you may be required to prove a payment method is yours or that you authorised a payment.

Data Transfers & Providers

We may share payment and identity data with our payment providers, outsourced service providers, affiliates, or subcontractors as necessary to fulfil payment services. Please see our Privacy Policy for further information on how we use your personal data.

Payout Timing & Schedule

Subject to successful clearance, verification, and absence of holds or reserves, we will initiate disbursement of proceeds to your linked financial account (i.e. bank account).

Processing Delays & Errors

We (or payment providers) do not guarantee instantaneous settlement. Delays may occur due to banking procedures, fraud or compliance checks, regulatory constraints, or other issues including those unforeseen. We are not liable for delays or errors caused by external systems, except to the extent required by applicable law.

Item eligibility

Not all Ads on Grund Axis are eligible for payment and delivery services. Grund Axis in its discretion will determine which items are eligible.

User eligibility

The services are available for eligible Ads.

Buyer Protection

A Buyer Protection fee is added to each eligible transaction at checkout and this shall be calculated at checkout and shown on the Ad.

This fee is to help ensure secure payment processing with funds held until delivery is confirmed, provide dedicated customer support to assist with disputes, and assist with fraud prevention and risk monitoring.

Please note that Buyer Protection is not an insurance policy or legal protection scheme; it is an additional safeguarding service we provide in line with these Terms of Use and your statutory rights.

Buyer Protection may apply in the following cases:

 

• • Where the item is not received – the item fails to arrive within the estimated delivery timeframe.

• • Where the item is Significantly Not As Described (SNAD) – the item received is materially different from the description or photos (e.g. wrong item, counterfeit, undisclosed major damage).

• • Where the item is damaged in transit – where adequate proof of damage is provided.

Where you receive a full refund under Buyer Protection, we will also refund the corresponding Buyer Protection fee and any Delivery Fee you paid.

Making a Claim

If you wish to make a claim under the Buyer Protection policy, or as a seller your item is lost or damaged in transit, you can find further information in the Help Centre.

Delivery

Applicability of third-party carrier terms – By using the delivery services you acknowledge and agree that the relevant Carrier Terms which can be found below will apply between you and Grund Axis for anything you send using the delivery service. As part of this you agree not to send any prohibited or restricted items in contravention of the Carrier’s terms.

You must package all items in accordance with correct weight and dimension limits for the delivery label provided to you. If you fail to correctly package or securely attach the delivery label to your package, Grund Axis shall not be liable for any loss or damage caused to the package for failure to so.

If you under-declare the weight of a parcel, we may charge you the difference, add administration fees, and/or restrict your use of the delivery services. Repeated misdeclaration may lead to account suspension.

If your parcel is lost or damaged, information on how to claim can be found in the Help Centre.

If Grund Axis incurs any costs or losses for example because someone else makes a claim against Grund Axis as a result of you sending something in a way that doesn’t comply with the Carrier Terms; or if you’ve sold or attempted to sell something that infringes someone else’s intellectual property rights (for example, counterfeit goods), you will have to reimburse Grund Axis for any costs or losses that we incur. If you are a business seller rather than a private individual, then the amount you might have to pay Grund Axis under this paragraph isn’t limited by any other part of these Terms of Use.

Listing Promotion Fees

You acknowledge that your Ads may be deleted from Grund Axis where we believe these Terms of Use, including our posting policies, are breached, either directly or indirectly. If you have paid a fee for the display of an Ad, you may be or may not be refunded such a fee subject to our discretion. We reserve the right not to refund Grund Axis users for any fees paid for the use of Grund Axis in the following cases:

 

• • If you breach, in our opinion, these Terms of Use, which include, without limitation, the policies;

• • If your Ads went live with exposure on the Grund Axis sites, services, applications or tools, even for a limited time no matter how brief, and as a result they benefited from the service associated with the paid fee;

• • If we suspect any illegal activity;

• • If your Ads are placed into “edit” mode and will go live to site once updated by you;

• • If you have removed your Ads yourself;

• • If you post duplicate or reasonably similar, not necessarily identical Ads as defined in our rules regarding; or

• • If we believe that your Ads are in a significantly wrong category.
  • If you made payment to, or purchased from Grund Axis any of its products or services, at a time in excess of 10 days before its inability to make performance, for whatever reason.
  • If in the discretion of the management of Grund Axis, a refund should not be made.

Please note that the above list is not exhaustive.

Please note that any obligation or duty owed by Grund Axis to users to display an Ad, or post, shall expire 10 days after the payment for such obligation or duty, even though performance may be made by Grund Axis after the expiry of those 10 days.

In addition to the Grund Axis services, ancillary goods or services such as insurance or car finance may be advertised on Grund Axis. Although users may offer financial products on their Ads, Grund Axis is in no way involved or liable for any loss related to such transactions.

Display and placement of user Ads

We strive to create a community where users can find what they are looking for. Therefore, the appearance or placement of Ads in search and browse results will depend on a variety of factors, including, but not limited to:

 

• • users’ location and search query / category selected;

• • adverts’ category, content, location and date published; and

• • if the Ad is promoted.

You may not have the opportunity to review all of the supplemental data relating to your Ad before posting it. Grund Axis is not responsible for the accuracy of any third party supplied supplemental data. You continue to be responsible for ensuring that your Ads are accurate, do not include misleading information and fully comply with these Terms of Use and all Grund Axis policies. If you notice inaccuracies in this data after your Ad appears on Grund Axis please get in touch with us.

Copyright Content

Grund Axis contains content from us, you, and other users. Grund Axis is protected by copyright laws and international treaties. Content displayed on or via Grund Axis is protected as a collective work and/or compilation, pursuant to copyrights laws and international conventions.

You agree not to copy, distribute or modify content from Grund Axis without our express written consent. You may not disassemble or decompile, reverse engineer or otherwise attempt to discover any source code contained in Grund Axis. Without limiting the foregoing, you agree not to reproduce, copy, sell, resell, or exploit for any purposes any aspect of Grund Axis (other than your own content). When you give us content, you grant us and represent that you have the right to grant us, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise any and all copyright, publicity, trademarks, design, database and intellectual property rights to that content, in any media whether now known or to be discovered in the future including, without limitation, on any third party Platforms and media channels. In particular, by giving us content, you grant us the right to display such content on Platforms that are part of the Grund Axis corporate group, and on other online marketplaces, social media channels, blogs, in all types of marketing communications and on all other Platforms. In addition, you waive all rights you have in the content to the fullest extent permitted by law.

Grund Axis may at times use third party data suppliers to supplement the information you have provided in an Ad. This could include descriptions, product specifications and other content. You may use such information solely in connection with your Grund Axis Ad while your Ad is on Grund Axis. The information provided may be subject to copyright, trademark and/or other protections. You agree not to remove any such protected information and/or create any derivative works based on the content (other than by including them in your Ads). This permission is subject to modification or revocation at any time at Grund Axis’s sole discretion.

Artificial Intelligence

We may use Artificial Intelligence (AI) to enhance and optimise the services we provide, such as improving search relevance and improving your Ad posting experience.

Abuse

Grund Axis and the Grund Axis community work together to keep Grund Axis working properly and the community safe. Please report problems, offensive content and policy breaches to us using the reporting system. Without limiting other remedies, we may issue warnings, limit or terminate our service, remove hosted content and take technical and legal steps to keep users off Grund Axis if we think that they are creating problems, infringing the rights of third parties or acting inconsistently with the letter or spirit of our policies (including, without limitation, circumventing temporary or permanent suspensions or harassing the Grund Axis employees or other users).

Keeping our Users Safe

By using Grund Axis you also agree not to upload, post, share, or transmit any content that is illegal. This includes, but is not limited to, content related to:

 

• • Child sexual exploitation and abuse (CSEA);

• • Terrorism;

• • Incitement to violence or hatred

• • Fraudulent content;

• • Intimate image abuse (e.g., revenge porn);

• • Promotion or facilitation of suicide or serious self-harm;

• • Illegal drugs or weapons; and

• • Other criminal offences as defined by law.

Actions that Grund Axis may Take

Grund Axis may proactively monitor, identify and remove illegal or offensive content appearing on our platform. Should Grund Axis become aware of, or have reasonable grounds to believe that anything may be in contravention of our polices or these Terms of Use, we may take prompt action, which may include:

 

• • Removing or disabling access to the content;

• • Suspending or terminating user accounts; and

• • Reporting the content and user details to relevant law enforcement agencies.

Complaints and Disputes

You can contact us if you believe there to be any illegal or offensive content or behaviour on our platform or if you think Grund Axis is not complying with our duty to remove harmful content. If you believe there to be a breach of contractual duty between you and us or failure of Grund Axis to protect its user’s rights to freedom of expression or privacy you can also contact us.

Any disputes arising against Grund Axis, any of its owners and employees, shall be resolved by Arbitration while Grund Axis and its owners and employees reserve the choice of arbitrator, choice of law, and choice of forum.  However, Grund Axis together with any of its owners and employees reserve the right to Litigation even without Arbitration.

If you believe that we have incorrectly blocked you or a User or have incorrectly removed or taken down your Ads or content, you can let us know via the contact us section or seek further help via the Help Centre. Grund Axis may review the decision and take appropriate action to reject or uphold the request.

For disputes between you and another Grund Axis User, you should contact the other Grund Axis User first and attempt to resolve the issue directly with them. If you are unable to resolve the matter, then you can contact us to escalate the matter further. Grund Axis expressly disclaims that it will act as a mediator between Users of the platform and shall only be obliged to investigate and act in accordance with its obligations under its policies and these Terms of Use.

Appeals

Grund Axis will offer an appeals process for wrongful takedowns. If an appeal is unsuccessful, the User may ask in line with Grund Axis’s complaints process for the decision to be escalated to a manager. The manager will review the decision and provide a decision in line with Grund Axis’ complaints escalations process.

Infringement

You are not permitted to post content that infringes the rights of third parties. This includes, but is not limited to, content that infringes on intellectual property rights such as copyright, design and trademark (e.g. offering counterfeit items for sale). A large number of products of all sorts are offered on Grund Axis by private individuals. Entitled parties, in particular owners of copyright, trademark rights or other rights can report any advertisement which may infringe on their rights, and submit a request for such advertisement to be removed. If a legal representative of the entitled party reports this to us in the correct manner as set out below, infringing products may be removed by Grund Axis.

Reporting an infringement

In order to report an infringement, you only need to use the contact us page. On the website or send us an email in the alternative of the failure or unresponsiveness from one method.

Financial Products

Grund Axis operates solely as an introducer for the financial products advertised on this website (which includes unsecured loans and insurance). We do not provide any advice or give any opinions on the merits of any of the financial products advertised and users are advised to conduct their own research and seek independent financial advice before applying for any of these financial products.

Liability

We are not involved in the actual transactions between Users. As most of the content on Grund Axis comes from other Users, we do not guarantee the accuracy and safety of postings or user communications or the quality or legality of what’s offered. You acknowledge that we cannot guarantee continuous, error-free or secure access to our services or that defects in the service will be corrected. While we will use reasonable efforts to maintain an uninterrupted service, we cannot guarantee this and we do not give any promises or warranties (whether express or implied) about the operation and availability of our sites, services, applications or tools. We may suspend or withdraw or restrict the availability of all or any part of Grund Axis for business, operational and other reasons. We may try to give you reasonable notice of any suspension or withdrawal.

We are not responsible for viruses and do not guarantee that Grund Axis will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platform to access Grund Axis. You should use your own virus protection software.

Accordingly, to the extent legally permitted we expressly disclaim all warranties, representations and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any damage, harm, loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of, or inability to use Grund Axis, even if you advise us or we could reasonably foresee the possibility of any such damage occurring.

Despite the previous paragraph, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to the greater of the total fees you paid to us in the 2 months prior to the action giving rise to liability. The above limit shall not apply to items eligible for payment and shipping services, where the total shall be up to the item’s agreed purchase price only.

Release

If you have a dispute with one or more Grund Axis Users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known or unknown, arising out of or in any way connected with such disputes.

Third party rights

A person who is not a party to this Agreement has no right under it.

Data Protection and Privacy

By using Grund Axis, you agree to the collection, transfer, storage and use of your personal information by Grund Axis on its affiliated servers.

You and Grund Axis shall process personal data received under and/or in connection with these Terms of Use each as a separate and independent controller. In no event will Grund Axis and you process personal data under and/or in connection with this User Agreement as joint controllers or in a controller-to-processor relationship. As such separate and independent controllers, you shall be individually and separately responsible for complying with the obligations that apply to you as a controller under applicable data protection law.

You shall comply with your obligations under applicable data protection law. This includes, but is not limited to the obligation to provide appropriate safeguards for the transfer of personal data to a third country or an international organisation. You shall process personal data received from Grund Axis exclusively for the purpose(s) you received the personal data under and/or in connection with these Terms of Use. You shall erase the personal data received under these Terms of Use immediately after the respective purpose(s) has/have been fulfilled. Any further processing of the personal data is not permitted except when legally required (e.g., if a retention obligation applies).

Failure to abide with the aforementioned obligations may result in us taking action against you up to and including account suspension or termination.

As part of the services, Grund Axis has access to various information about Users, including personal data. This includes information that users submit to Grund Axis as part of the services (such as contact information or item descriptions) as well as information that is generated by the provision and processing of the services (such as ratings, sales analysis or communication) via Grund Axis.com and its related websites, services, applications or tools, and you will receive such information where it is necessary for the processing of transactions (such as, the contact information of the other User involved in a transaction) as well as aggregated information on the performance and analysis of your Ads, which are partly related to the data of other Users of the services (such as number of impressions of an ad, conversion rate or return rate).

Grund Axis only shares information about Users with third parties if this is necessary for the provision of the services or if Grund Axis is legally or contractually entitled to do so.

Upon your request, we may delete the information you provided, or which was generated through your use of the services from your Grund Axis account. Regardless, we maintain this information after the expiry of these Terms of Use if we are legally obliged or have a legitimate interest to do so. We will generally maintain aggregated data generated using the services (e.g. statistics about ads in a category).

Your account details and password

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.

General. These Terms of Use and the other policies posted on Grund Axis constitute the entire agreement between Grund Axis and you, superseding any prior agreements. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

If we don’t enforce any particular provision, we are not waiving our right to do so later. If a court strikes down any part of these Terms of Use, the remaining parts of the Terms of Use will survive. We may automatically assign this agreement in our sole discretion in accordance with the notice provision below.

We may update this agreement at any time, with updates taking effect when you next post or 3 days after we post the updated policy on the Grund Axis website, whichever is sooner. No other amendment to this agreement will be effective unless made in writing, signed by users and by us.

Governing law

Unless stated otherwise, this Agreement shall be governed and construed in all respects by the laws of Malawi. You agree that any claim or dispute you may have against Grund Axis must be resolved by arbitration as stipulated above. You agree to submit to the non-exclusive jurisdiction of the Malawian Courts.

Application Use

Grund Axis grants you the right to use the Grund Axis application only for your personal use. You must comply with all applicable laws and third-party terms of agreement when using the application (e.g. your wireless data service agreement). Your download and use of the application is at your own discretion and risk, and you are solely responsible for any damages to your software and hardware device(s) or loss of data that results from the download or use of the application.

Intellectual Property – Applications

Grund Axis owns, or is the licensee to, all right, title, and interest in and to its applications, including all rights under patent, copyright, trade secret, trademark, and any and all other proprietary rights, including all applications, renewals, extensions, and restorations thereof. You will not modify, adapt, translate, prepare derivative works from, decompile, reverse-engineer, disassemble, or otherwise attempt to derive source code from any application and you will not remove, obscure, or alter Grund Axis’s copyright notice, trademarks or other proprietary rights notices affixed to, contained within, or accessed in conjunction with or by any Grund Axis application.

Prohibited Countries Policy and Foreign Trade Regulation – Applications.

Grund Axis applications or their underlying technology may not be downloaded to or exported or re-exported: to any prohibited country, person, end-user, or entity specified by the Malawi Sanctions List or similar list.
